Welcome to GulfCOD ("GulfCOD", "we", "us"). GulfCOD is a B2B technology platform operated by an India-registered company. By using our website, dashboard, or services (the "Platform"), you agree to these Terms & Conditions.

1. Platform Role

GulfCOD is solely a technology platform and intermediary that connects independent Sellers with verified third-party Suppliers across GCC countries (UAE, Saudi Arabia, Kuwait, Qatar, Bahrain, Oman). GulfCOD is not a seller, supplier, manufacturer, importer, exporter, warehouse, logistics or courier company, or payment collection company. GulfCOD does not own inventory, ship or deliver products, or collect Cash on Delivery (COD) from customers. Inventory, packaging, shipping, delivery, COD collection, returns, replacements, customer service, and local compliance are the sole responsibility of the respective verified Supplier.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts. All information you provide must be accurate, current, and complete.

3. How It Works

Sellers submit orders through the Platform. GulfCOD routes them to the relevant verified Supplier, who fulfills the order and collects COD from the customer. The Supplier settles eligible amounts with GulfCOD; GulfCOD deducts its Platform Fee and processes the remaining payout to the Seller, as per our Payout Policy.

4. Platform Fee

GulfCOD charges a Platform Fee for use of its technology and services. Fees are shown on the Platform and may be revised with reasonable notice; continued use means acceptance.

5. Fraud, Fake Orders & Prohibited Conduct

Submitting fake, fraudulent, self-placed, or manipulated orders, misrepresenting products, infringing third-party rights, or attempting to bypass or abuse Platform systems and fees is strictly prohibited. GulfCOD may withhold payouts connected to suspected fraud pending investigation.

6. Suspension & Termination

GulfCOD may suspend or terminate any account, with or without notice, for breach of these Terms, suspected fraud, legal or regulatory reasons, or risk to the Platform or its users. Lawful outstanding payouts, less applicable deductions, are processed after investigation and settlement.

7. Intellectual Property

All Platform content, branding, software, and design belong to GulfCOD or its licensors and may not be copied or reused without written consent. You retain rights to content you upload and grant GulfCOD a limited license to use it to operate the Platform.

8. Third-Party Services & Payments

The Platform relies on third-party services (hosting, authentication, communication, banking). GulfCOD is not responsible for their acts, omissions, or availability. Payment timelines are subject to banking systems and the Payout Policy.

9. Force Majeure

GulfCOD is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, strikes, internet or infrastructure failures, government actions, or third-party outages.

10. Indemnification

You agree to indemnify and hold harmless GulfCOD, its directors, employees, and affiliates from any claims, losses, or expenses (including legal fees) arising from your use of the Platform, your orders, your breach of these Terms, or your violation of any law or third-party right.

11. Disclaimer & Liability

The Platform is provided "as is" and "as available". Our Disclaimer and Limitation of Liability pages form part of these Terms.

12. Governing Law, Jurisdiction & Arbitration

These Terms are governed by the laws of India. Disputes shall first be resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India), by a sole arbitrator appointed by GulfCOD, with the seat at the city of the Company's registered office in India, conducted in English. Subject to arbitration, courts at the same city shall have exclusive jurisdiction.
